1. Purpose of this Disclosure
This Risk Disclosure Statement is provided by Lirion Tech Private Limited ("Lirion") to ensure that all users of the Platform at www.lirion.xyz are fully informed of the material risks associated with tokenized real-world assets, blockchain-based instruments, and real estate investment generally.
This statement does not constitute exhaustive legal or financial advice. Users must independently assess their risk tolerance and consult qualified professionals before making any financial commitment.
2. Regulatory & Legal Risk
The regulatory framework governing tokenized real-world assets (RWAs), blockchain-based securities, and digital property instruments in India is currently unsettled and evolving. Applicable regulations may change with limited notice, potentially affecting the legality, enforceability, or taxation of instruments described on this Platform.
Ownership of a digital token may not automatically confer legal title to the underlying property under current Indian property law. The legal basis for enforcing rights through tokenized structures has not been fully tested in Indian courts. Users must obtain independent legal advice on ownership structure and enforceability before participating.
3. Market & Valuation Risk
The value of tokenized real estate assets is subject to fluctuation based on property market conditions, rental demand, occupancy rates, geographic factors, infrastructure developments, and broader macroeconomic conditions. Property values may decline and may not recover.
Any rental yield estimates, projected returns, or valuation figures presented on this Platform are indicative and based on assumptions at the time of publication. Actual returns may differ materially from projections. Past performance of any asset, market, or instrument is not indicative of future results.
4. Liquidity Risk
Real estate is an inherently illiquid asset class. The existence of a secondary market for tokenized property instruments cannot be guaranteed. Users may be unable to exit their positions when desired, or may be able to do so only at a significant discount to the notional value.
Secondary market trading of tokenized instruments is subject to availability of willing counterparties, regulatory permissions, and platform operational continuity. Lirion makes no guarantee of liquidity at any point.
5. Technology & Blockchain Risk
Smart contracts governing tokenized transactions are software-based and may contain coding errors, vulnerabilities, or be exposed to exploits. Blockchain networks may experience congestion, forks, protocol changes, or failures that affect transaction execution.
Blockchain transactions are generally irreversible once confirmed. Users who initiate transactions in error or fall victim to fraud cannot recover funds through Lirion. Private key security is entirely the user's responsibility. Loss of access to a digital wallet due to loss of private keys or seed phrases is irrecoverable.
6. Counterparty Risk
Transactions involving tokenized assets may involve multiple counterparties including property developers, custodians, legal trustees, and technology operators. The failure, default, fraud, or insolvency of any counterparty in the chain could materially affect the value or enforceability of an instrument.
Lirion does not guarantee the performance, solvency, or conduct of any third-party entity associated with instruments described on this Platform.
7. Concentration & Diversification Risk
Concentrating capital in a single property asset, geographic area, or asset type amplifies exposure to localized downturns, title disputes, natural disasters, or regulatory changes affecting that asset. Users are strongly advised to seek diversified exposure across asset classes and consult a financial adviser on portfolio construction.
8. NRI, Foreign National & Cross-Border Risk
Non-Resident Indians (NRIs), Persons of Indian Origin (PIOs), and foreign nationals must ensure their participation in Indian real estate or tokenized instruments complies with FEMA (Foreign Exchange Management Act), RBI regulations, and applicable laws in their country of residence.
Repatriation of proceeds, tax obligations, and regulatory reporting requirements vary by nationality, residency status, and instrument structure. Lirion accepts no liability for cross-border compliance failures.
9. No Guarantee of Returns
Lirion Tech Private Limited does not guarantee any investment performance, return of capital, rental income, or capital appreciation for any instrument, property, or asset described on this Platform. All participation in real estate and tokenized asset instruments involves the risk of partial or total loss of the amount invested.
Investors should not invest funds they cannot afford to lose. This Platform is not suitable for individuals who require capital preservation or guaranteed income.
